Terms & Conditions

By submitting an inquiry through this website or engaging Blue Ribbon Take (“we,” “us,” “our”) for services, you agree to the following Terms & Conditions.

1) Inquiries and estimates

Submitting a form inquiry does not create a client relationship or obligate either party. Any estimate, timeline, or scope discussed prior to a signed agreement is non-binding and may change based on creative, logistical, or production requirements.

2) Booking, deposits, and payments

Production dates and crew holds are not confirmed until a written agreement is signed and any required deposit is received. Payment terms, deposit amounts, and milestone schedules are defined in your project agreement or invoice.

Late payments may pause work and delivery until the account is current. Client is responsible for any applicable taxes, fees, or processing charges unless otherwise stated in writing.

3) Cancellations, postponements, and kill fees

Cancellations, rescheduling, or postponements may incur fees to cover pre-production work completed and any non-refundable costs (including, but not limited to, permits, locations, equipment rentals, travel, and crew holds). If a project is canceled after work has started, a kill fee may apply and will be defined in the project agreement.

4) Scope, revisions, and change requests

Your agreement will define the scope of work and included deliverables. Revisions are limited to what is specifically included in the agreement. Additional revisions, scope changes, or new deliverables may require a change order and additional fees.

5) Client materials and releases

Client represents and warrants they have all necessary rights, licenses, permissions, clearances, and releases for any materials they provide (including logos, music, footage, images, trademarks, or likenesses). Client is responsible for obtaining and paying for any third-party licenses, releases, permits, or approvals unless explicitly included in writing.

6) Third-party costs

Third-party expenses (talent, locations, permits, insurance, rentals, music licensing, travel, etc.) are either billed to the client directly or passed through at cost, as stated in the agreement. We are not responsible for failures or delays caused by third-party vendors.

7) Intellectual property and usage rights

Unless otherwise agreed in writing:

  • We retain ownership of our pre-existing tools, templates, processes, and production methods.

  • Upon full payment, client receives the rights to the final paid deliverables as defined in the agreement.

  • Unused concepts, drafts, project files, and raw assets remain our property unless purchased or transferred in writing.

8) Portfolio and promotional use

Unless otherwise agreed in writing, client grants us permission to display completed work for our portfolio, reel, website, social media, and promotional purposes. If a project requires confidentiality or an NDA, client must notify us in writing prior to production.

9) Delivery and timelines

Timelines are estimates. We are not liable for delays caused by client feedback timing, scope changes, approvals, vendor availability, weather, or circumstances outside our control.

10) Limitation of liability

To the maximum extent permitted by law, our liability for any claim related to the services is limited to the amount paid by the client for the specific services giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages (including lost profits or business interruption).

11) Force majeure

We are not responsible for delays or failures due to events beyond reasonable control, including acts of God, natural disasters, labor actions, illness, government restrictions, equipment failure, or other unforeseen events.

12) Governing law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any disputes will be resolved in the appropriate courts located in Los Angeles County, California unless otherwise agreed in writing.
